Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of SheetConvert (the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

SheetConvert does not currently operate through a separately incorporated legal entity. In these Terms, "SheetConvert," "we," "us," and "our" refer to the individual(s) or team currently operating the Service.

2. Description of Service

SheetConvert lets you upload documents (such as PDFs and images) and extracts structured fields and tables from them using AI-powered processing, based on an extraction schema you define. Extraction is performed in part using third-party AI processing services — see Section 5 of our Privacy Policy for how that data is handled.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

4. Account Registration & Security

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access to your account.

5. Subscriptions, Credits & Payments

Usage of the Service is measured in credits (generally 1 credit per page processed). An active subscription plan is required to upload and extract documents. Unused credits on monthly billing expire at the end of the billing period; on yearly billing, your full credit pool stays valid for the entire 12-month period. Upgrading mid-cycle carries over unused credits from your prior plan.

Payment processing, invoicing, tax collection (such as VAT/GST), and recurring subscription management are handled by our payment processing partner and Merchant of Record, Dodo Payments. By subscribing to a paid plan, you agree to Dodo Payments' terms and conditions. Subscriptions auto-renew unless cancelled prior to the renewal date. Reprocessing a document you have already successfully extracted does not consume additional credits.

You may cancel or change your plan at any time directly from your workspace's billing settings.

6. Acceptable Use & User Content

You agree that you:

• Have all rights, licenses, and consents necessary to upload and process any document you submit through the Service, including any personal data of third parties it contains;
• Will not use the Service for any unlawful purpose, or to upload malware, harmful code, or content that infringes another party's rights;
• Will not attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service or its underlying systems; and
• Will not use the Service to process documents you are not legally permitted to possess or process.

We may suspend or terminate accounts that violate this section.

7. Intellectual Property & Content Ownership

We own all rights, title, and interest in the Service itself, including its software, design, and branding. As between you and us, you retain all rights to the documents you upload and the data extracted from them. You grant us a limited, non-exclusive license to process your documents solely to provide and operate the Service for you.

8. AI-Generated Output; Accuracy & Backup Disclaimer

Extraction results are generated by AI vision models and, like any automated system, can contain errors, omissions, or misreadings — particularly for low-quality scans, unusual layouts, or ambiguous values. The Service reports a confidence score for each extracted field and flags documents with missing or low-confidence required fields for your review before they are marked as confirmed ("Parsed"). You are responsible for reviewing extracted data before relying on it, especially for financial, legal, medical, or other high-stakes decisions. The Service is not a substitute for professional judgment or manual verification in contexts where errors could cause harm.

Uploaded files and extraction results are stored for processing for up to 90 days. SheetConvert is not a permanent cloud archiving service — you are responsible for maintaining independent backups and regularly exporting your CSV or JSON extraction data.

9. Term & Termination

These Terms remain in effect while you use the Service. You may stop using the Service and request account deletion at any time. We may suspend or terminate your access if you materially breach these Terms, with notice where reasonably practicable. Upon termination, your right to use the Service ends; Sections 7, 8, 10, 11, 13, and 17 survive termination.

10. Disclaimers; No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EXTRACTION RESULTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHEETCONVERT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) USD 100 (OR THE EQUIVALENT IN INR). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify and hold SheetConvert harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your uploaded content, or your violation of these Terms or applicable law.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, you and SheetConvert agree to submit to the exclusive jurisdiction of the courts located in India, for any dispute arising out of or relating to these Terms or the Service.

14. Copyright & IP Takedown Notices

If you believe that any content available through the Service infringes your copyright or intellectual property rights, please send a written notice to maulik1807@gmail.com with details of the copyrighted work, identification of the infringing material, and your contact information.

15. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above when we do, and for material changes, we will make reasonable efforts to notify you before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SheetConvert regarding the Service. We will not be liable for delays or failures caused by events beyond our reasonable control. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
